Terms of Service

1. Acceptance of Terms

By accessing or using Legal Flow (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all users, including legal practitioners, law firms, and their authorised staff members who access or use the Service.

2. Description of Service

Legal Flow is a cloud-based legal practice management software that provides tools for trust accounting, file management, time tracking, billing, document management, and related services for legal practitioners.

The Service does not provide legal advice. Users are solely responsible for their legal practice and compliance with applicable laws and professional regulations.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use
• Ensuring all users on your account are authorised

4. Subscription and Payment

4.1 Pricing

The Service is provided on a subscription basis at N$1,000 per month (including VAT) for the base plan, which includes up to 3 users. Each additional user beyond the included 3 is charged at N$400 per month (including VAT).

4.2 Billing

Subscriptions are billed monthly in advance. Payment is due on the subscription renewal date. Failure to pay may result in service suspension.

4.3 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required for the trial period. The trial converts to a paid subscription unless cancelled.

4.4 Price Changes

We reserve the right to modify pricing with 30 days’ notice. Continued use after price changes constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Reverse-engineer, decompile, or disassemble the Service
• Use the Service in violation of professional conduct rules
• Share account credentials with unauthorised parties

6. Your Data

You retain all ownership rights to the data you enter into the Service. By using the Service, you grant us a limited licence to host, store, and process your data solely for the purpose of providing the Service.

You are responsible for the accuracy and legality of the data you enter. We do not access your data except as necessary to provide support or as required by law.

Upon termination, you may export your data for a period of 30 days. After this period, your data will be permanently deleted.

7. Confidentiality

We understand the sensitive nature of legal practice data. We maintain strict confidentiality measures and will not disclose your client data except:

• With your explicit consent
• As required by law or court order
• To protect our rights or safety

Attorney–client privilege and work-product protections remain with you as the legal practitioner.

8. Service Availability

We strive to maintain 99.5% uptime. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We will provide reasonable notice of scheduled maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Legal Flow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Professional liability for legal services remains solely with the legal practitioner. The Service is a tool to assist practice management — not a substitute for professional judgment.

10. Indemnification

You agree to indemnify and hold harmless Legal Flow from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any rights of a third party.

11. Termination

You may terminate your subscription at any time. Termination takes effect at the end of the current billing period. No refunds are provided for partial months.

We may terminate or suspend your account immediately for violation of these Terms or non-payment. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms shall be governed by the laws of Namibia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Namibia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
